Terms of Service

These Terms govern use of Baseline Medical websites, booking pages, mobile medical service coordination, appointment requests, payments, memberships, communications, and related non-emergency service workflows.

Introduction

These Terms of Service govern your access to and use of Baseline Medical websites, booking pages, mobile pages, online forms, communications, content, appointment-request flows, scheduling tools, payment tools, intake workflows, and related internet-based features operated under the Baseline Medical brand.

By accessing or using the Service, booking or requesting an appointment, purchasing a package or gift card, enrolling in a membership, submitting forms, communicating with us, or receiving any service, you acknowledge that you have read, understood, and agree to be bound by these Terms and any applicable service-specific terms.

The Service is not for medical emergencies. If you are experiencing a medical emergency or a potentially life-threatening condition, call 911 or seek emergency medical care immediately.

Booking or paying for an appointment reserves the appointment and clinical assessment process described in these Terms. It does not guarantee IV therapy, injections, medications, prescriptions, lab services, treatment, diagnosis, or any particular clinical outcome.

Key Definitions

Baseline Medical means the consumer-facing brand used for mobile non-emergency medical and wellness services, website content, booking pages, communications, and related client-facing operations.

Baseline Medical Management, LLC may operate or support non-clinical administrative functions including the Site, Platform, booking functions, payment functions, customer service, marketing, membership administration, business operations, and other non-clinical services.

Professional medical services, if any, are furnished by Baseline Medical Group, PC and/or another licensed professional entity responsible for furnishing professional medical services, as applicable.

Clinicians means licensed healthcare professionals, including nurse practitioners, registered nurses, physicians, or other licensed professionals, who provide clinical services within the scope of their licenses and under the applicable professional entity.

Where these Terms refer to clinical services or clinical decision-making, Baseline Medical Management, LLC does not act as a provider of medical care.

Acceptance Of Terms

These Terms are an electronic contract that explains legally binding terms for your use of the Service.

We may modify these Terms at any time in our sole discretion. Modified Terms will be effective when posted unless a different effective date is stated.

Your continued use of the Service after modified Terms are posted indicates your acceptance of the modified Terms.

We may modify, cancel, update, reconfigure, supplement, limit, suspend, terminate, or otherwise alter the Service or any part of it, including as between different users, temporarily or permanently.

User Accounts And Credentials

To access certain features, you may be asked to create a user account through our Site or a third-party scheduling, payment, communication, telehealth, intake, or patient-management platform.

You agree to provide accurate, complete, and current information and to promptly update that information as needed.

You are responsible for maintaining the confidentiality of credentials used to access the Service and for all activity under your account.

You may not permit another person to use your credentials, use another person's credentials, or attempt to gain unauthorized access to any other account.

You agree to notify us promptly if your credentials are lost or stolen, if you become aware of unauthorized account use, or if you become aware of any other security issue that may affect the Service.

Permitted Use And Prohibited Conduct

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use the Service solely for your personal, non-commercial use and solely in connection with evaluating, booking, purchasing, or receiving eligible Baseline Medical services.

You may not engage in spidering, screen scraping, database scraping, harvesting of email addresses or contact information, or any other automated means of obtaining information from or through the Service.

You may not attempt to obtain unauthorized access to computer systems, accounts, materials, records, or information.

You may not use the Service in a way intended to interrupt, damage, disable, overburden, or impair the Service.

You may not use the Service in violation of intellectual property rights, privacy rights, patient rights, or applicable law.

You may not insert your own or a third party's advertising, branding, tracking, code, or promotional content into the Service.

You may not use the Service for any unlawful, fraudulent, abusive, unsafe, or misleading purpose.

Medical And Wellness Services

Baseline Medical is a consumer-facing brand. The Site, Platform, booking functions, payment functions, customer communications, membership administration, business operations, and other non-clinical administrative services may be operated or supported by Baseline Medical Management, LLC.

Professional medical services, if any, are furnished by licensed Clinicians through the applicable professional entity.

Baseline Medical Management, LLC does not provide professional medical services and does not make clinical decisions, diagnose, treat, prescribe, order clinical services, determine medical eligibility, or control the professional judgment of Clinicians.

Clinicians are responsible for clinical assessment, eligibility determinations, diagnoses, treatment decisions, medication decisions, prescriptions, orders, referrals, and decisions to accept, decline, modify, discontinue, or refer services.

A Clinician may decline to provide any service when the Clinician determines that the service is not clinically appropriate, legally permitted, safe, or within the Clinician's scope of practice.

Website Content Is Not Medical Advice

Content on the Site is provided for general informational purposes only and is not medical advice, diagnosis, treatment, or a substitute for professional medical judgment.

Use of the Site, viewing information, submitting an intake form, sending a message, or booking an appointment does not by itself create a provider-patient relationship.

A provider-patient relationship, if any, is established only when a Clinician or applicable professional entity accepts you for evaluation or care and only for the specific services provided.

Use of the Site, use of the Platform, payment to a non-clinical management company, or communications with non-clinical administrative personnel do not, by themselves, create a provider-patient relationship.

Clinical Eligibility, Consent, And Patient Rights

Services may require completion of intake forms, medical questionnaires, consent forms, telehealth or in-person evaluation, Clinician review, and other service-specific documentation.

You agree to provide accurate and complete information and to promptly notify us and the Clinician of any changes in symptoms, health status, medications, allergies, pregnancy status, medical history, or other information relevant to clinical eligibility.

These Terms are not a substitute for informed consent. Before receiving a clinical service, you may be required to review and sign service-specific informed consent forms describing the nature of the service, expected benefits, material risks, alternatives, contraindications, follow-up instructions, and when to seek emergency care.

Nothing in these Terms limits, waives, or modifies any professional duty, standard of care, informed consent requirement, medical-record right, privacy right, patient right, or other right that cannot be limited or waived under applicable law.

Telehealth And Patient Location

Telehealth, remote assessment, remote supervision, and electronic communications are available only where permitted by applicable law.

You may be asked to confirm your physical location at the time of any telehealth encounter or remote clinical communication.

Clinicians may decline, defer, or discontinue telehealth or remote services if your location, condition, identity, technology, safety, consent, or applicable law does not permit appropriate care.

Services are available only where the applicable Clinician is licensed, authorized, and legally permitted to provide the service.

Medications, Supplies, And Compounded Products

Some services may involve prescription medications, non-prescription products, IV fluids, vitamins, minerals, supplements, injections, lab supplies, compounded medications, or other clinical supplies.

Availability may change without notice and any use is subject to Clinician judgment, clinical eligibility, supply availability, and applicable law.

Compounded medications and vitamins, if used, are not FDA-approved. The FDA does not verify the safety, effectiveness, or quality of compounded medications before they are marketed.

Statements about general wellness, hydration, vitamins, minerals, supplements, or non-prescription wellness services have not necessarily been evaluated by the Food and Drug Administration and are not intended to diagnose, treat, cure, or prevent disease unless expressly provided as part of professional medical services by a licensed Clinician.

No Guaranteed Treatment Or Outcomes

Individual results vary. We do not guarantee any particular medical, wellness, hydration, symptom, performance, recovery, weight, energy, or other outcome.

Services may be declined, delayed, modified, discontinued, or referred elsewhere when a Clinician determines that doing so is appropriate.

Booking or paying for an appointment does not guarantee that any requested treatment, medication, IV therapy, injection, prescription, lab service, diagnosis, or clinical outcome will be provided.

Mobile Appointment Window

Many services are provided as mobile appointments at a home, office, hotel, or other approved location.

Due to traffic, parking, weather, clinical delays, prior appointments, building access, and other circumstances outside a Clinician's control, a Clinician may arrive up to 30 minutes early or 30 minutes after the scheduled appointment time.

We will use reasonable efforts to communicate material scheduling changes or delays.

The appointment prepayment reserves the appointment and clinical assessment process and remains subject to the cancellation, rescheduling, no-show, safety, and access terms in these Terms.

Safe And Accessible Location

You are responsible for providing a safe, clean, lawful, and accessible location for mobile services.

You agree to provide accurate address information, parking or access instructions, gate or building access information, and a reasonable space for the Clinician to perform services.

We may cancel, decline, defer, or discontinue services if the location is unsafe, inaccessible, unsanitary, unlawful, or otherwise inappropriate for care.

If the appointment cannot proceed because the location is unsafe, inaccessible, or unsuitable, the appointment prepayment may remain non-refundable.

Required Forms And Accurate Information

Required intake, consent, identity, and health-screening forms must be completed before the scheduled appointment start time unless we expressly permit otherwise.

If your health information, medication list, allergies, symptoms, pregnancy status, medical history, or other relevant information changes before or during your appointment, you must notify us and the Clinician immediately.

If you fail to complete required forms, provide incomplete or inaccurate information, misrepresent yourself, omit information that may affect clinical eligibility, or fail to update material information, we may cancel, reschedule, decline, modify, or defer the appointment or requested services.

Impairment And Capacity To Consent

If, at the time of your appointment, you appear to be under the influence of alcohol, recreational drugs, impairing substances, or otherwise unable to provide informed consent or reliable health information, a Clinician may decline to perform services.

If the appointment cannot safely proceed due to impairment, inability to consent, inability to participate in assessment, or inability to provide reliable information, the appointment prepayment may remain non-refundable.

Payments And Appointment Prepayment

By booking an appointment, purchasing a product, package, membership, or gift card, or receiving services, you agree to pay the fees displayed or disclosed at booking or checkout, plus applicable taxes, processing fees, travel fees, parking fees, after-hours fees, out-of-service-area fees, add-on fees, and any other disclosed charges.

Unless otherwise stated at booking, a $169 appointment prepayment is required at the time of booking.

This payment reserves the appointment time and covers the scheduled mobile appointment, including RN arrival, intake, RN assessment, and nurse practitioner assessment or review, as applicable.

The appointment prepayment is not a deposit toward guaranteed treatment. Additional services, products, medications, treatments, lab services, or follow-up services are not included unless expressly stated at booking and will be charged separately if provided.

Clinical eligibility is not guaranteed by payment or booking.

Card On File And Payment Authorization

An active payment card or other approved payment method may be required to book services.

By booking an appointment or purchasing a service, you authorize Baseline Medical, Baseline Medical Management, LLC, the applicable professional entity, affiliated entities, and their third-party payment processors to store and charge any active payment method on file for the appointment prepayment, additional services you authorize or receive, applicable taxes, disclosed fees, cancellation amounts, membership charges, package charges, add-ons, outstanding balances, and other amounts owed under these Terms or applicable service-specific terms.

You represent that you are authorized to use the payment method provided.

Cancellations And Rescheduling

Appointments may be cancelled or rescheduled for a refund or credit of the appointment prepayment only if the cancellation or rescheduling request is received through an approved cancellation method during Baseline Medical's posted cancellation-processing hours before the cancellation deadline.

Unless a different deadline is disclosed at booking, the cancellation deadline is the close of Baseline Medical's cancellation-processing hours on the calendar day before the scheduled appointment.

Same-day cancellations and same-day rescheduling requests are non-refundable. Same-day means any cancellation or rescheduling request received on the calendar date of the scheduled appointment, based on the local time zone of the appointment location.

Cancellation or rescheduling requests sent outside cancellation-processing hours are deemed received when cancellation-processing hours next reopen.

Appointments booked for the same calendar day are immediately non-refundable unless Baseline Medical expressly states otherwise at booking.

If an appointment is cancelled or rescheduled after the cancellation deadline, on the same calendar day as the appointment, after the Clinician is en route, after the Clinician arrives, or after the clinical assessment process begins, the appointment prepayment is earned and non-refundable.

No-Show Appointments

You may be considered a no-show if you are not present, available, responsive, or prepared to begin the appointment within the applicable appointment window.

You may also be considered a no-show if the appointment location is inaccessible or unsafe, required intake forms are incomplete, your identity cannot be verified, or you cancel after the Clinician is en route.

No-show appointments are treated as cancellations and are non-refundable, and the appointment prepayment may be retained according to the cancellation terms.

Refunds And Credits

Except as expressly stated at booking, stated in service-specific terms, or required by law, appointment prepayments, completed assessments, services provided, services begun, prepaid packages, unused package balances, membership fees, and unused memberships are non-refundable.

Credits, if offered, are discretionary and may be subject to expiration, service-area limitations, and other terms disclosed at the time the credit is issued.

If Baseline Medical or the applicable billing entity cancels an appointment for reasons unrelated to patient eligibility, patient conduct, inaccurate or incomplete information, safety or access issues, or circumstances within the patient's control, Baseline Medical or the applicable billing entity may provide a refund, credit, or rescheduling option.

Nothing in this section limits any refund, cancellation, chargeback, gift card, automatic-renewal, patient, or consumer right that cannot be waived under applicable law.

HSA, FSA, And Insurance

Some payment systems may permit HSA or FSA cards to be used for eligible healthcare-related purchases.

Acceptance of an HSA or FSA card does not guarantee that a service is a covered expense, reimbursable, or eligible under your plan.

Unless expressly stated otherwise, Baseline Medical and the applicable billing entity do not bill insurance directly and cannot guarantee coverage or reimbursement.

We may provide a receipt for services, but we do not guarantee that any receipt or documentation will satisfy an insurer, plan administrator, employer, or tax requirement.

Packages, Gift Cards, And Memberships

Prepaid packages are discounted promotional service packages and are not gift cards, gift certificates, stored-value cards, or cash equivalents unless expressly identified as such at purchase.

Prepaid packages are redeemable only for eligible services within the applicable service area and are subject to clinical eligibility, service availability, scheduling availability, and service-specific terms.

Gift cards are redeemable only for eligible Baseline Medical services within the applicable service area and are subject to clinical eligibility, service availability, scheduling availability, and applicable law.

Memberships may be offered, administered, billed, and supported by Baseline Medical Management, LLC under the Baseline Medical brand. Membership benefits involving clinical services remain subject to clinical eligibility, Clinician availability, provider discretion, applicable law, and the professional entity's clinical policies.

If you enroll in a recurring membership, the membership will continue until cancelled according to the membership terms disclosed at enrollment.

Privacy, Health Information, And Communications

Personal information collected through the Site and Platform is handled as described in our Privacy Policy.

To the extent the applicable professional entity is a HIPAA covered entity, its use and disclosure of protected health information is governed by its Notice of Privacy Practices and applicable privacy laws, not solely by these Terms.

You may receive transactional emails, text messages, phone calls, account messages, and other communications regarding appointment requests, intake forms, reminders, scheduling updates, arrival estimates, payment, follow-up, safety, lab-related matters, and services you request.

Ordinary email and text messaging may not be fully secure, so you should avoid sending sensitive health information through unencrypted email or text unless you understand and accept the risks or we provide a secure channel.

Marketing Communications

You may choose to receive marketing communications from Baseline Medical, including promotional emails or text messages.

Consent to marketing communications is not required as a condition of purchasing or receiving services.

Marketing text messages will be sent only with your separate consent where required by law.

You may revoke consent to marketing text messages by replying STOP or by any other reasonable method we make available.

Opting out of marketing communications does not stop transactional communications about appointments, payments, safety, or services you request.

Third-Party Platforms And Services

The Service may use third-party platforms for scheduling, payment processing, intake forms, communications, telehealth, reviews, maps, analytics, hosting, or other functions.

Third-party platforms may be engaged by Baseline Medical Management, LLC, the applicable professional entity, affiliated entities, or their service providers to support scheduling, intake, payments, communications, telehealth, analytics, hosting, and related functions.

Your use of third-party platforms may be subject to separate terms, privacy notices, and data practices.

Intellectual Property

The Service is the proprietary property of Baseline Medical, Baseline Medical Management, LLC, the applicable professional entity, their affiliates, licensors, or service providers and is protected by U.S. and foreign copyright, trademark, and other intellectual property laws.

Your use of the Service does not transfer ownership of any content, code, data, materials, trademarks, or proprietary rights.

Any commercial or promotional use, distribution, reproduction, scraping, harvesting, resale, or exploitation of the Service or any content, code, data, materials, trademarks, or features available through the Service is prohibited unless we have given prior written permission.

Indemnification

To the maximum extent permitted by applicable law, you agree to release, indemnify, defend, and hold harmless Baseline Medical, Baseline Medical Management, LLC, the applicable professional entity, their affiliates, shareholders, owners, officers, directors, managers, employees, contractors, Clinicians, agents, advisors, licensors, vendors, and service providers from and against claims, losses, liabilities, damages, costs, and expenses arising from your misuse of the Service, your violation of these Terms, your violation of law, your infringement of third-party rights, your submission of false or misleading information, your unsafe or unlawful conduct, or your failure to provide a safe and accessible location.

You are not required to indemnify a party for that party's professional negligence, gross negligence, willful misconduct, fraud, violation of law, or other conduct for which indemnification cannot be required under applicable law.

Disclaimer Of Warranties

To the maximum extent permitted by applicable law, the Site, Platform, online content, booking features, communication features, payment features, and other non-clinical features of the Service are provided as-is, with all faults, and as available.

To the maximum extent permitted by applicable law, we disclaim all representations, warranties, and conditions, express, implied, statutory, or otherwise, including warranties or conditions of merchantability, fitness for a particular purpose, workmanlike effort, accuracy, title, non-infringement, course of dealing, and usage of trade.

Nothing in these Terms is intended to limit any warranty, professional duty, standard of care, informed consent obligation, patient right, privacy right, or other obligation that cannot be limited under applicable law.

Limitation Of Liability

To the maximum extent permitted by applicable law, Baseline Medical, Baseline Medical Management, LLC, the applicable professional entity, their affiliates, shareholders, owners, officers, directors, managers, employees, contractors, Clinicians, agents, advisors, licensors, vendors, and service providers shall not be liable for indirect, consequential, special, incidental, punitive, exemplary, or similar damages, or for loss of use, data, business, revenues, or profits, arising out of or related to the Site, Platform, online content, booking features, communication features, payment features, or these Terms.

To the maximum extent permitted by applicable law, aggregate liability arising out of or related to the Site, Platform, online content, booking features, communication features, payment features, or these Terms will not exceed the amount you paid, if any, for the service giving rise to the claim.

Nothing in these Terms limits liability for professional negligence, gross negligence, willful misconduct, fraud, privacy or security obligations, patient rights, statutory consumer rights, or any other liability or right that cannot be limited or waived under applicable law.

Governing Law And Jurisdiction

These Terms are governed by and construed under the laws of the Commonwealth of Virginia, without reference to conflict-of-law principles, except to the extent another state's law or federal law applies to non-waivable patient, privacy, professional, or consumer rights.

To the maximum extent permitted by law, each party agrees to submit to the exclusive and personal jurisdiction of the state and federal courts located in Virginia for disputes arising from or related to the Site, Platform, online content, booking features, payment features, or these Terms.

To the maximum extent permitted by law, all parties to these Terms waive their respective rights to a trial by jury.
